These Terms of Service (\u201cTerms\u201d) govern access to and use of the website, products, datasets, services, and related offerings (collectively, the \u201cServices\u201d) provided by Allora Labs, Inc., a Delaware corporation (\u201cAllora Labs,\u201d \u201cCompany,\u201d \u201cwe,\u201d \u201cus,\u201d or \u201cour\u201d).<\/p>\n\n\n\n

By accessing or using the Services, you (\u201cCustomer,\u201d \u201cyou,\u201d or \u201cyour\u201d) agree to be bound by these Terms. If you do not agree, you may not access or use the Services.<\/p>\n\n\n\n

\n\n\n\n

1. Nature of Services<\/h3>\n\n\n\n

Allora Labs provides privacy-safe data products and services, including but not limited to:<\/p>\n\n\n\n

  • Advertising audiences and datasets<\/li>\n\n\n\n
  • Custom audience development<\/li>\n\n\n\n
  • Business intelligence and analytics<\/li>\n\n\n\n
  • Strategic consulting related to advertising, audience development, and data strategy<\/li>\n<\/ul>\n\n\n\n

    All data products are delivered as datasets or audience files intended for use by Customers within third-party advertising platforms or internal systems.<\/p>\n\n\n\n

    Allora Labs does not operate advertising accounts, place media, or execute campaigns on behalf of Customers.<\/p>\n\n\n\n

    2. Sale of Data Products<\/h3>\n\n\n\n
      \n
    • Data Products are provided as-is, subject to these Terms.<\/li>\n\n\n\n
    • Ownership, control, and use of Data Products transfer to the Customer upon delivery, subject to applicable law and platform policies.<\/li>\n\n\n\n
    • Allora Labs does not guarantee performance, results, conversion rates, or outcomes arising from Customer use of any Data Product.<\/li>\n<\/ul>\n\n\n\n

      3. Customer-Controlled Activation & Use<\/h3>\n\n\n\n

      Customer bears sole responsibility for how Data Products are used after delivery.<\/p>\n\n\n\n

      Specifically:<\/p>\n\n\n\n

        \n
      • Allora Labs does not upload, inject, activate, or deploy data into Customer advertising accounts.<\/li>\n\n\n\n
      • Allora Labs does not access, manage, or control Customer accounts on platforms such as Meta, Google, LinkedIn, TikTok, programmatic DSPs, or any other third-party system.<\/li>\n\n\n\n
      • Any decision to upload, use, activate, or apply a Data Product is made solely by the Customer.<\/li>\n\n\n\n
      • Any guidance provided by Allora Labs is informational only and does not constitute execution or control.<\/li>\n<\/ul>\n\n\n\n

        4. Platform Compliance & Account Risk<\/h3>\n\n\n\n

        Customers acknowledge and agree that:<\/p>\n\n\n\n

          \n
        • Each advertising platform maintains its own terms, policies, and data usage requirements.<\/li>\n\n\n\n
        • Customer is solely responsible for platform compliance.<\/li>\n\n\n\n
        • Allora Labs is not liable for suspensions, rejections, restrictions, penalties, bans, or losses.<\/li>\n\n\n\n
        • No warranties are made regarding platform acceptance or continued account eligibility.<\/li>\n<\/ul>\n\n\n\n

          5. No Legal, Advertising, or Financial Advice<\/h3>\n\n\n\n

          Allora Labs does not provide legal, regulatory, financial, or advertising compliance advice. Customers are responsible for consulting their own professional advisors.<\/p>\n\n\n\n

          6. No Collection of Payment Information<\/h3>\n\n\n\n
            \n
          • Allora Labs does not collect or store payment card information.<\/li>\n\n\n\n
          • Payments are processed by PCI-compliant third-party providers such as Stripe.<\/li>\n\n\n\n
          • Payment information is governed by the processor\u2019s own terms and policies.<\/li>\n\n\n\n
          • Allora Labs bears no liability for third-party payment processing issues.<\/li>\n<\/ul>\n\n\n\n

            7. Intellectual Property<\/h3>\n\n\n\n

            Except for Customer-owned Data Products:<\/p>\n\n\n\n

              \n
            • Allora Labs retains all rights to its proprietary systems, methodologies, software, and intellectual property.<\/li>\n\n\n\n
            • No rights are granted beyond limited use of delivered Data Products.<\/li>\n<\/ul>\n\n\n\n

              8. Disclaimers<\/h3>\n\n\n\n

              THE SERVICES AND DATA PRODUCTS ARE PROVIDED \u201cAS IS\u201d AND \u201cAS AVAILABLE.\u201d<\/strong><\/p>\n\n\n\n

              ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT, ARE DISCLAIMED.<\/p>\n\n\n\n

              9. Limitation of Liability<\/h3>\n\n\n\n

              TO THE MAXIMUM EXTENT PERMITTED BY LAW:<\/strong><\/p>\n\n\n\n

              • Allora Labs shall not be liable for indirect, incidental, consequential, special, or punitive damages.<\/li>\n\n\n\n
              • Allora Labs shall not be liable for lost profits, lost data, loss of business, or platform-related losses.<\/li>\n\n\n\n
              • Total liability shall not exceed the amount paid for the specific Service giving rise to the claim.<\/li>\n<\/ul>\n\n\n\n

                10. Indemnification<\/h3>\n\n\n\n

                Customer agrees to indemnify and hold harmless Allora Labs from claims arising from:<\/p>\n\n\n\n

                • Customer\u2019s use of Data Products<\/li>\n\n\n\n
                • Customer\u2019s advertising activities<\/li>\n\n\n\n
                • Violation of laws or platform policies<\/li>\n\n\n\n
                • Misuse of the Services<\/li>\n<\/ul>\n\n\n\n

                  11. Termination<\/h3>\n\n\n\n

                  Allora Labs may suspend or terminate access to the Services for violations of these Terms or applicable law. Obligations incurred prior to termination remain in effect.<\/p>\n\n\n\n

                  12. Governing Law & Jurisdiction<\/h3>\n\n\n\n

                  These Terms are governed by the laws of the State of Delaware. Disputes shall be resolved exclusively in state or federal courts located in Delaware.<\/p>\n\n\n\n

                  13. Changes to These Terms<\/h3>\n\n\n\n

                  Allora Labs may modify these Terms at any time. Continued use constitutes acceptance of updated Terms.<\/p>\n\n\n\n
